pileCom End User License Agreement
 
pileCom (“pileCom” or “we”) has/have designed, developed and is the publisher of the webpage listed as pileCom.net (“Site”). The Site and associated
applications (the “services”) are provided by pileCom for personal purposes only. In order to use the services, you must read and agree with this End User
License Agreement (this “Agreement”). IF YOU ARE UNDER AGE 18 YOU MUST HAVE YOUR PARENT OR LEGAL GUARDIAN’S PERMISSION TO USE THIS services, AS WELL AS HAVE THEM READ AND AGREE TO THESE TERMS. By using the services, you agree as follows:


1. pileCom License Terms.

1.1  License Grant.

pileCom grants you (the “User”) the non-exclusive, non- transferable, revocable, limited right to access the services for User’s personal
use in accordance with the terms and limitations contained herein. All other rights are reserved by pileCom. Unless otherwise authorized in writing by pileCom, User may not use, copy, reproduce, modify, publicly perform or display, create derivative works of, sell, auction, loan, lease, rent, distribute, transfer or disclose all or any part of the services (including, without limitation, any screenshots, videos, documentation or manuals relating to the services) except as provided in this Agreement.


1.2  License Restrictions. Unless otherwise authorized, User shall not:

(a)  Sublicense to, transfer, network, transmit, distribute, or permit use of the services by, any third party;
(b)  Reverse engineer, decompile, or disassemble any aspect of the services including setting up competing networks such as shadow servers, gray shards,
     or pirate servers;
(c)  Transmit or communicate any data that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy,
     hateful, or racially, ethnically or otherwise objectionable;
(d)  Harm minors in any way;
(e)  Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
(f)  Forge headers or otherwise manipulate identifiers in order to disguise the origin of any data transmitted to other users;
(g)  Transmit, access or communicate any data that you do not have a right to transmit under any law or under contractual or fiduciary relationships
    (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements);
(h)  Transmit, access, or communicate any data that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
(i)  Transmit or communicate any data that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the
     functionality of any computer software or hardware or telecommunications equipment;
(j)  Disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users are able to type, or otherwise act in a manner that negatively       affects
     other users’ ability to engage in real time exchanges;

(k)  Interfere with or disrupt the services;
(l)  Intentionally or unintentionally violate any applicable local, state, national or international law, including Central Bank and any regulations
     requirements, procedures or policies in force from time to time relating to the services;
(m)  Monitor traffic or make search requests in order to accumulate information about individual users;
(n)  Stalk or otherwise harass another person;
(o)  Modify, delete or damage any information contained on the personal computer of any other user;
(p)  Unless otherwise approved by pileCom, upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional materials,
     “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
(q)  Use the services in any way related to gambling, pronography or illegal lotteries or illegal sweepstakes;
(r)  Harm the services including using any program or other mechanism to slow or “crash” the network including monitoring activity, packet sniffing,
     or modifying the data stream;
(s)  Engage in any activity or install any software application to facilitate activity considered cheating, including botting, other automated play, or hacking
     to gain an advantage over other users as judged by pileCom: or
(t)  Allow usage by others in such a way as to violate this Agreement;

1.3 Indemnification.

User (i) agrees to indemnify, defend and hold harmless, and (ii) hereby releases, pileCom, its licensors, and their direct and indirect parent,  subsidiary and sister companies, and their respective officers, directors, employees, and agents from and against any and all losses, liabilities,
 claims, obligations, costs and/or expenses (including reasonable legal fees) which result from, arise out of or in connection with the User’s use of the
 services and all other services or activities related thereto.


2. Ownership.

2.1  pileCom Intellectual Property. Except for the revocable, limited license expressly granted hereunder, pileCom retains all rights, title and interests in
 and to all intellectual property rights associated with the services and all copies thereof, and all data in connection therewith. The Site is
 copyrighted and is protected by Barbados copyright laws and international treaty provisions as well as other laws. User acknowledges that the
 Site contains valuable trade secrets of pileCom, and that pileCom and/or its licensors own all intellectual property rights in and to the Services on the Site,
 including, without limitation, all patent rights, copyrights, inventions, trade secret rights, trade dress rights, trademark rights and intellectual
 property rights therein and thereto. User may not remove the copyright and other proprietary rights notices from the Site or Software. User agrees that this  Agreement shall be retained with all printed and electronic copies of the Site or Software and documentation constituting the Site or Software. User agrees to prevent any unauthorized copying or distribution of the Site or Software. Except for the license as expressly provided herein, pileCom does not grant User any express or implied right in any patents, copyrights, trademarks, or trade secret information of pileCom and/or its licensors.


2.2  Licensed Intellectual Property. pileCom, through arrangements with licensors, may incorporate certain external intellectual property (“Licensed Intellectual Property”) into the site or services. This Licensed Intellectual Property shall remain the property of the licensors and any and all intellectual property rights thereto shall remain with the licensors.

2.3   Certain companies and individuals ("Licensors") may provide information and materials to pileCom for use as part of the services (e.g. for a pileCom Project  or pileCom Opportunities). Licensors represent and warrant they have the power and authority to provide such Licensed Materials to pileCom without any  further permissions and without violating the proprietary rights, including intellectual property rights of any third-party. Licensors are considered "Users"   hereunder for all purposes.

2.4   Users provided certain information and materials for pileCom to use and display on the services ("User Materials"). Users represent and warrant they have the power and authority to provide such Licensed Materials to pileCom without any further permissions and without violating the proprietary rights,
including intellectual property rights of any third-party. Users further grant pileCom and its licensees and assigns the right to use such User Materials
 for marketing, promotional, and advertising purposes in any media throughout the world.


2.4  Contributions. If you have a pileCom supporter you may participate in our contributions services offering. Contributions ("FSKickStart") is a crowd funding
 facility, with no cash value, that can be used to fund certain projects offered through pileCom/CPNet/FilmStream. FSKickStart can be used and compensated in a variety of ways. For example, you may maybe given a FilmStream subscription by participating in FSKickStart. We may also offer other rewards from time to time.
 FilmStream is provisioned in packages the price of which may vary at our discretion and depending on operating conditions. pileCom
 may from time to time limit the amount of services you may obtain in your account balance at any one time or in the aggregate. pileCom will notify you if
 you reach such limit. You are solely responsible for any tax consequences that may result from your contribution to FCKickStart.


pileCom may grant refunds on unused service balances if you request it. This refund may have certain fees deducted to cover the transaction costs of the
refund. No refund is granted for any projects provided by CPNet.
If your account is inactive for six (6) months, pileCom may deduct a portion of any unused FilmStream balance up to 100% of that unused balance to fund operations as part of the services provision at its discretion.

Improper Usage of FilmStream.

We reserve the right to reduce, liquidate, deactivate, suspend or terminate your FilmStream or access thereto if we terminate the services or if we suspect, after investigation, that you have misused the FilmStream services, violated the terms of this Agreement, or have otherwise used the FilmStream services to conduct any fraudulent or illegal activity.
In the event that pileCom suspends or terminates your account or this Agreement, you understand and agree that you shall receive no refund or exchange for any unused service on the account, any license or fees, any content or data associated with your account, or for anything else. pileCom has the right at any time for any breach of this agreement or general suspension or termination of the services, to suspend or terminate your account, terminate this Agreement, and/or refuse any and all current or future use of the services without notice or liability to you.
In the event an account is suspended or terminated for your breach of this Agreement (in each case as determined in pileCom 's sole discretion), pileCom may suspend or terminate the account associated with such breach and any or all other accounts held by you or your affiliates, and your breach shall be deemed to apply to all such accounts.

YOU UNDERSTAND AND AGREE THAT ANY ATTEMPT TO MAKE ANY CHARGE BACK OR OTHERWISE RECLAIM OR OBTAIN A REFUND OF OR A CREDIT AGAINST ANY FEES PAID FOR THE SERVICES WITHOUT FIRST HAVING OBTAINED pileCom's PRIOR WRITTEN CONSENT TO SUCH REFUND SHALL ENTITLE pileCom TO DEACTIVATE YOUR ACCOUNT UNLESS AND/OR UNTIL SUCH TIME AS THE FEES ARE REPAID OR A CREDIT OR REFUND IS AGREED WITH pileCom. DEACTIVATION WILL INCLUDE, NOT ONLY THE FilmStream BALANCE, BUT ALSO ALL ACCESS TO THE SERVICES INCLUDING PREVIOUSLY PURCHASED ADDITIONAL FEATURES AND/OR THE FREE ASPECTS OF pileCom.


2.5 Claims of Copyright Infringement.

If you are a copyright owner (or the owner’s authorized agent) and have a good-faith belief that material on our website and/or services infringes one of your
copyrights, you may notify us in writing using the procedure described below.  In order for us to process your notice of copyright infringement, it must be
sent to our Designated Agent below.  When we receive a notice under this procedure, we will expeditiously remove or disable access to the material that is
claimed to be infringing or to be the subject of infringing activity.

The Notification of Claimed Infringement must include the following:


(a)  An electronic or physical signature of the owner or of the person authorized to act on behalf of the owner of the copyright interest;
(b)  Identification of the copyrighted work (or works) that you claim has been infringed;
(c)  A description of the material that you claim is infringing, and the location where the original or an authorized copy of the copyrighted work exists
(for example, the URL of the page of the website where it is lawfully posted);
(d)  A clear description of where the infringing material is located on our website, including as applicable its URL, so that we can locate the material;
(e)  Your name, address, telephone number, and e-mail address;
(f)  A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
(g)  A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or
     authorized to act on the copyright owner's behalf.

3. Injunctive Relief.

User acknowledges and agrees that a breach or threatened breach of any covenant contained in this Agreement would cause irreparable injury, that money
damages would be an inadequate remedy and that pileCom shall be entitled to temporary and permanent injunctive relief, without the posting of any bond
or other security, to restrain User, from such breach or threatened breach. Nothing in this section shall be construed as preventing pileCom from pursuing
any and all remedies available to it, including the recovery of money damages from User.


4. No Warranty; No Liability For Damages; No Support; Data.

4.1 No Warranty.

USER ACKNOWLEDGES THAT THE SOFTWARE AND SERVICES MAY WELL CONTAIN ERRORS AND DEFECTS. THE SOFTWARE AND SERVICES ARE PROVIDED “AS IS” WITHOUT
ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, NONINFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY OF THE SOFTWARE, THE SERVICES AND ALL OTHER SOFTWARE IS WITH USER.
SHOULD THEY PROVE DEFECTIVE FOLLOWING THEIR RECEIPT BY USER, USER AND NOT pileCom ASSUMES THE ENTIRE COST OF ALL NECESSARY SERVICING OR REPAIR. Without limiting the foregoing, pileCom does not ensure continuous, error-free, secure or virus-free operation of the Software, the services, your account or continued operation or availability of any given server. THESE DISCLAIMERS OF WARRANTY CONSTITUTE AN ESSENTIAL PART OF THIS AGREEMENT.


4.2  No Liability For Damages.

IN NO EVENT SHALL pileCom, ANY PARENT, SUBSIDIARY OR OTHERWISE RELATED COMPANY (INCLUDING ALL AFFILIATES), OR EMPLOYEES,  AGENTS, OFFICERS, MANAGERS AND/OR DIRECTORS OF ANY OF THE ABOVE, BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT,   INCIDENTAL, CONSEQUENTIAL, SPECIAL PUNITIVE OR OTHER DAMAGES OR LOST PROFITS, DATA OR BUSINESS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE  SOFTWARE OR SERVICES EVEN IF ANY OF THE ABOVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. pileCom DOES NOT GUARANTEE THE PERFORMANCE OF ANY USER OF THE SERVICES AND IS NOT LIABLE FOR THEIR LACK OF PERFORMANCE.

4.3  No Support. pileCom does provide limited support for the Software or services. However, pileCom may provide an e-mail address and/or a password protected
forum for User to send any questions and/or comments regarding the Software or services. pileCom does not, however, make any representations or warranties
as to the accuracy of any statements or advice provided in response to User’s e-mail(s) and/or chat or postings.


5. Dispute Resolution and Choice of Law.

5.1  Informal Resolution.

To facilitate the resolution of any controversy related to this Agreement (“Dispute”), you and pileCom agree to first attempt to
resolve any Dispute (except those Disputes expressly provided below) informally for at least 30 days before initiating any arbitration or court proceeding.
Informal resolution may be completed through a customer services mechanism. If this fails, additional informal discussions begin upon written notice from
you or pileCom. pileCom will send its notice to the email address you have provided to us and may also provide a copy to a physical address if we have one
on file. You will send your notice to pileCom  Attn: Legal.


5.2  Binding Arbitration.

If you and pileCom are unable to resolve a Dispute through informal discussions, either you or pileCom may elect to have the
Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by final binding arbitration. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be performed under the Commercial Arbitration Rules of Barbados. Your arbitration fees and your share of arbitrator compensation shall be governed by the Barbados rules. If
such costs are determined by the arbitrator to be excessive, pileCom will pay all arbitration fees and expenses. The arbitration may be conducted in
person, through the submission of documents, by phone or online. Except as otherwise provided in this Agreement, you and
pileCom may litigate in court to compel arbitration, stay proceeding pending arbitration, or to confirm, modify, vacate or enter judgment on the award
entered by the arbitrator.


5.3  No Class Action.

You and pileCom agree that any arbitration shall be limited to the Dispute between pileCom and you individually. To the full
extent permitted by law no arbitration or other dispute resolution proceeding shall be joined with any other or decided on a class-action basis.


5.4  Exceptions to Informal Discussions and Arbitration.

You and pileCom agree that the following Disputes are not subject to the above provisions
concerning informal discussions and binding arbitration: (1) any Disputes seeking to enforce or protect, or concerning the validity of, any of your
or pileCom’s intellectual property rights or Licensed Intellectual Property; (2) any Dispute related to, or arising from, allegations of theft, piracy,
invasion of privacy, or criminal activity; and (3) any claim for injunctive relief.


5.5  Venue.

Any arbitration will take place in Barbados. Any Dispute not subject to arbitration (other than
claims proceeding in any small claims court), or where no election to arbitrate has been made, shall be decided by a court of competent jurisdiction within
Barbados, and you and pileCom agree to submit to the personal jurisdiction of that court. Construction and performance
of this Agreement and the legal relations between the parties hereto shall be under the law of Barbados without regard to its conflict of laws
provisions. Each party hereby waives any claim that such venue is improper or inconvenient.


6. Miscellaneous.

6.1 Survival.

The provisions of this Agreement, other than Section 1.1 shall continue in full force and effect even after this Agreement has been terminated.

6.2 Severability and Assignment.

If any provision of this Agreement shall be held invalid or unenforceable, in whole or in part, such provision shall be
 modified to the minimum extent necessary to make it valid and enforceable, and the validity and enforceability of all other provisions of this Agreement
shall not be affected thereby. User shall have no right to assign this Agreement.


6.3 Entire Agreement.

This Agreement constitutes the entire agreement between the parties hereto relating to the subject matter hereof and supersedes all
  prior oral and written and all contemporaneous oral negotiations, commitments and understandings of the parties. Changes made by User to this Agreement  will not be effective unless set forth in a writing describing the change and agreed to and signed by both pileCom and User. pileCom reserves the right  to change the terms of this Agreement at any time upon notice to User by e-mail or on its webpage. Such changes by pileCom shall be effective upon notice to User and User’s continued use of the services shall constitute User’s acknowledgement of, and agreement to, be bound by such changes.

pileCom complies with the Children's Online Privacy Protection Act and all other applicable laws and regulations concerning children and the Internet.
Children under the age of 13
If you are under the age of 13, you may not create an account on the Site. You may not sign up for any subscription services or buy anything through our services.
pileCom will not knowingly collect, maintain, or disclose any personal information from children under the age of 13.
Youth between the ages of 13 and 18
If you are between the ages of 13 and 18, please have your parent or guardian read this Policy and get his or her permission before you give us any of your
personal identifiable information, before you use any of our email or chat features, before you sign up for any services, and before you buy anything
from the Sites. Do not post your real name on a web site or message board, and never tell anyone online anything private about yourself or your family,
including your phone number and address. Use screen names at all times. Some areas of the services may have special rules for children under the age of 18.

When you are in those areas, you must follow those rules.

Information for Parents/Guardians
pileCom encourages parents and guardians to spend time online with their children to become familiar with the types of content available on the Internet.
Parents and guardians should regularly oversee their children's use of e-mail and other online communications and transactional features. Control tools
are available from online services and software manufacturers that can help provide a safe online environment for children. We encourage parents to familiarize themselves with those tools and use them to customize the web experience of their children to their own parental standards.

If you are a parent or guardian who has discovered that your child has submitted his or her personal information without your permission or consent, pileCom will take reasonable steps to remove that information from the pileCom database at your request. To request removal of your child's information, please send an e-mail to us at admin@pileCom.net and be sure to include your contact information in your message.

What personal information we collect from you

We do not collect any personal information from you, unless you provide it to us in one of the ways discussed in this Policy. You may provide us this
information directly through our services. If you decide to provide us your personal information (e.g., name, email address, and mailing address), we will
collect only the personal information which is needed to fulfill your requests and our legitimate business objectives. If you have an account with our Site,
your username will be your email address. If you refuse to divulge your personal information when requested, you may not be able to access certain areas aspart of the services (such as chat and email.)
We may also collect information from you related to your performance or use of our services. As an example, we may share information about your performance,including statistics.Memberships and Registration


In order for you to register for our services, we may require you to provide us with information such as a name, email address, state and country of residence, zip/postal code, birth date and gender. Some areas of the services may allow you to visit as a guest and remain anonymous, but you may not be able to access all the content and features of those areas without registering (in order to participate in our Site, additional information, such as your real name and billing information, may be required). You may be asked to choose a user or member name and password. Please do not use your real name or the real name of another person when selecting a user name. Public Forums Please note that your user name will be available to the Internet's general public while you participate in some services, like our Site, chat rooms or message boards, so you should exercise discretion when using these services. Personal information disclosed by you within our chat areas, instant message services, or message boards, can be collected by other users of such services and may result in unsolicited messages. We are not responsible for protecting such information that you may disclose to third parties through our services (e.g. sending your telephone number to another user through the chat services).

To the extent that you create a public profile that may be available to others on our services, you are solely responsible for its content and accuracy at
all times. To edit, change, or delete such information, follow the instructions provided on our services.


Email Newsletters

As part of your participation in the services, we may send you email. You must have a an account and have given us your email address in order to receive
emails from us. You may be asked for additional personal information when you ask to receive email. You can opt out of receiving future emailing from us
by following the directions contained in the email to "unsubscribe."
What non-personal information we collect from you
General, aggregated, demographic, and non-personal information may be collected by pileCom . It will not be linked to any of your personal information,
through cookies or other means, without your consent. This type of anonymous, aggregated profiling and session data may include information that you have provided to us through surveys, polls, etc., but will not be tied to any personal information, without your consent. It may also include aggregated
anonymous information about Site usage and the customer base.

As part of the registration process for some services, you may be asked to provide information that does not personally identify you. For example, you
may be asked to provide information concerning your entertainment preferences, genre, and the like. This information is generally optional.
This preference information may be tied to personal information. pileCom requests this information to understand you better and to also bring to your
attention new services, programs, or offers that may be of interest to you.
In many cases, pileCom will automatically collect certain non-personal information about your use of its services. pileCom might collect, among other things,
information concerning the type of Internet browser or computer operating system you are using, the domain name of your Internet services provider,
your "click path" through the Sites, and the web site or advertisement that was linked to or from the Sites when you visited. To do this, pileCom may
use cookies and other technology. Your visits to our services, and information provided through these technologies, will be anonymous unless you provide us
with personal information or have provided such information in the past. For example, if you have created an account with our services, your account
information (including name, email address, and billing and shipping information) may be linked to the items you purchased at our online payments
associated with the services. (i.e., purchase order history).

pileCom services and advertisements on such sites, may contain "cookies."

A cookie is a piece of data that is sent to your browser, which will store the cookie on your computer if your browser is enabled to accept cookies.
Internet browsers will allow you to erase cookies from your computer hard drive, block acceptance of cookies, or receive a warning before a cookie is stored.

some portions of the pileCom services may not function properly.
pileCom does not control cookies in third party ads, and visitors are encouraged to check the privacy policies of advertisers and/or ad services to learn about
their use of cookies and other technology. The ads appearing on our services may be delivered to you by third-party advertising companies. These companies may use information about your visits to this and other web sites in order to provide advertisements on this site and other sites about goods and services that may be of interest to you.


How we use and share the information that we collect from you

Personal information which we collect for a particular purpose will be saved and used for that purpose, unless you have agreed to allow us to use it for some
other purpose, as described in this Policy. Except as discussed in this policy, we will not sell, rent, or otherwise use your personal information for a
commercial purpose unless approved by you.

otherwise may be required by applicable law, or, as we deem necessary in our sole discretion, in order to protect the legitimate legal and business
interests of pileCom.

We may use the information we collect from you for the purpose of providing you with technical support, customer services, and account maintenance.
We use the information we collect to learn what you like, tailor your experience accordingly, and to improve web sites and our other products. We will
sometimes send promotional or community e-mail to our members and to the general public who want to receive e-mail from us. However, if you want to stopreceiving e-mail from us, you can "opt out" of receiving it by following the unsubscribe instructions listed in each e-mail.
